FERC Approves Vistra's Plan to Acquire Nearly 2,600 MW of Gas-fired Power Plants
LCG, October 6, 2025--Vistra today announced that the Federal Energy Regulatory Commission (FERC) approved Vistra's acquisition of certain subsidiaries owning seven natural gas generation facilities from Lotus Infrastructure Partners. The acquisition was announced last May, and Vistra expects the transaction to close this quarter or during the first quarter of 2026. Vistra's acquisition remains subject to approval by the New York Public Service Commission and other customary closing conditions.
Vistra's acquisition will add nearly 2,600 MW of capacity from five combined-cycle gas turbine plants and two combustion turbine plants that are located across PJM, New England, New York, and California. The acquisition will expand Vistra's geographic footprint and strengthen its ability to provide dispatchable power across the nation.
In PJM and New England, the transaction includes four natural gas-fired facilities from Lotus's portfolio. Three are combined-cycle facilities: the Fairless Energy Center (1,320 MW) in Fairless Hills, Pennsylvania; the Manchester Street Station (510 MW) in Providence, Rhode Island; and the Garrison Energy Center (309 MW) in Dover, Delaware. Fairless and Garrison sell capacity and energy into PJM, while Manchester sells capacity and energy in the ISO-NE region. Manchester Street and Garrison facilities also benefit from dual fuel capabilities. The fourth power plant is the Hazleton (158 MW) simple-cycle facility in Pennsylvania.
In New York, the acquisitions consist of two combined-cycle facilities in New York: Beaver Falls (108 MW) and Syracuse (103 MW). Both are Combined Heat and Power (CHP) facilities. Beaver Falls also benefits from dual-fuel capabilities.
Lastly, in California Vistra will acquire the Greenleaf facility, with one, gas-fired combustion turbine (49 MW) located in Yuba City, California.
