SEC Okays Allegheny Energy's Purchase of Mountaineer Gas

LCG, Aug. 15, 2000--Allegheny Energy Inc.s electricity and natural gas distribution subsidiary yesterday received approval from the U.S. Securities and Exchange Commission for its pending acquisition of Mountaineer Gas Co., a wholly-owned subsidiary of Energy Corp. of America.

The acquisition of Mountaineer Gas, the largest natural gas provider in West Virginia, will add about 200,000 customers to Allegheny Powers base. Last December, the company acquired West Virginia Power Co. from UtiliCorp United Inc., adding 26,000 electric and 24,000 gas customers.

Alan J. Noia, chief executive of Allegheny Energy, said "Acquiring Mountaineer Gas represents an important step in the growth of our energy delivery business. In the past seven months, with the acquisitions of West Virginia Power and Mountaineer Gas, we will have added more than 250,000 customers, a 15 percent increase, to our customer base. Allegheny's reputation of superior customer service and operational excellence will ensure the success of this regional expansion."

The SEC approval of the Mountaineer Gas acquisition was the last required, and the company expects to close the transaction by the end of this month.
