Enron Nears Deal to Sell Portland General Electric

LCG, Nov. 18, 2003--The public electric utility Portland General Electric (PGE) will be sold to Oregon Electric Utility Co., based upon a deal that has received approval from the board of directors of PGE owner Enron Corp. and the Official Unsecured Creditors' Committee.

The sale would be completed through a cash payment of $1.25 billion, and the assumption of about $1.1 billion worth of debt, according to Enron spokesman Mark Palmer. Oregon Electric Utility Co. is a newly created unit of Texas Pacific Group, a private-equity firm with experience in acquisitions of businesses having financial difficulties.

PGE would keep the same name, should the Oregon Public Utility Commission and federal agencies decide to approve the transaction.
